Terms of Service
These Terms of Service ("Terms") govern your use of the ContinuitySystems.ai platform and services provided by ContinuitySystems.ai, Inc. ("ContinuitySystems.ai," "we," "us," or "our"). By accessing or using our platform, you agree to these Terms.
1. Acceptance of Terms
By registering for an account or using our services, you represent that you have the authority to bind your organization to these Terms and that your organization agrees to be bound by them.
2. Description of Services
ContinuitySystems.ai provides a cloud-based emergency notification, employee accountability, incident command, and business continuity platform. Services include AI voice call trees, SMS and email campaigns, real-time accountability dashboards, incident command center tools, and AI-powered reporting.
3. Account Registration and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use. We reserve the right to suspend accounts that violate these Terms or that pose a security risk.
4. Permitted Use and Restrictions
You may use our platform only for legitimate emergency management, business continuity, and employee safety purposes within your organization. You may not:
- Use the platform to send unsolicited or deceptive communications
- Reverse engineer, decompile, or attempt to extract the source code
- Use the platform in ways that violate applicable laws or regulations
- Share access credentials with unauthorized individuals
- Interfere with the platform's security features or availability
- Use the platform for any purpose other than legitimate organizational emergency management
5. Your Data and Content
You retain ownership of all data you input into the platform, including employee records, emergency plans, and incident data. You grant us a limited license to process your data solely to provide and improve the services. We do not sell your data or use it to train AI models without your explicit consent.
6. AI-Generated Content
Our platform uses Azure OpenAI GPT-4o to generate incident summaries, reports, and recommendations. AI-generated content is provided for informational purposes and should be reviewed by qualified emergency management professionals before use in critical decision-making. We make no warranty that AI-generated content is accurate, complete, or suitable for any particular purpose.
7. Emergency Communications
You are solely responsible for the content of all emergency notifications sent through our platform. You represent that you have legal authority to send communications to all recipients and that all communications comply with applicable telecommunications laws, including TCPA, CAN-SPAM, and applicable state laws.
8. Uptime and Service Availability
We target 99.99% uptime for emergency notification and core accountability features. Planned maintenance will be scheduled during low-usage windows with advance notice. Our SLA terms are specified in your order form or subscription agreement.
9. Payment and Subscription
Subscription fees are billed in advance on a monthly or annual basis. Fees are non-refundable except as required by law or as specified in your order form. We reserve the right to change pricing with 30 days' written notice.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTINUITYSYSTEMS.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO FAILED EMERGENCY NOTIFICATIONS, SYSTEM DOWNTIME, OR INACCURATE AI-GENERATED CONTENT. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration under AAA Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.
12. Changes to Terms
We may update these Terms from time to time. We will provide at least 30 days' written notice before material changes take effect. Continued use of the platform after changes constitutes acceptance.
